Terms and Conditions & Screening License Agreement
This Crowdfunding Screening Retreat Terms and Conditions and Screening License Agreement (the “Agreement”) is a legally binding contract between Triumph of the Heart (“Licensor,” “Facilitator,” “we,” “us,” or “our”) and any individual or organization that launches, hosts, contributes to, or participates in a crowdfunding campaign for a Screening Retreat of Triumph of the Heart (the “Film”), including campaign hosts and contributors (collectively, “Users”).
By launching a campaign, contributing to a campaign, purchasing tickets, or hosting a screening retreat, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Purpose of the Platform
Triumph of the Heart operates a crowdfunding and facilitation platform (the “Platform”) that enables communities to pool contributions to fund and host local, in-person screening retreats of Triumph of the Heart.
Licensor acts solely as a facilitator and payment collection agent. Licensor does not operate venues, provide venues, manage events, or sell tickets outside the crowdfunding model.
2. Crowdfunding Campaigns
2.1 Venue Confirmation Requirement
Before launching a crowdfunding campaign, the Host must:
Secure and confirm a venue
Confirm the event date, time, and location
Ensure the venue is legally permitted to host a public screening event
Campaigns may not be launched without a confirmed venue.
2.2 Funding Requirement
Each Crowdfunding Screening Retreat campaign has a minimum funding goal of $500 (the “Funding Goal”). Reaching the Funding Goal is required for the screening retreat to proceed, for tickets to be confirmed, and for the Host to receive a screening license.
The $500 Funding Goal represents the minimum amount required to license and facilitate the screening retreat. If the confirmed venue has additional capacity beyond the minimum attendance covered by the Funding Goal, additional tickets may be made available on the platform and purchased at the same ticket price, subject to venue limitations and Host approval.
All additional ticket sales are subject to the same terms and conditions as the original campaign tickets, including refund and transfer policies.
2.3 Campaign Deadline
Each campaign must meet the Funding Goal no later than seven (7) days before the scheduled event date. Campaigns that do not meet the Funding Goal by this deadline will be canceled.
2.4 Successful Campaigns
If a campaign meets the Funding Goal by the deadline:
Tickets will be confirmed
The Host will be issued a limited public screening license
Contributions are non-refundable except as expressly stated in Section 9
2.5 Unsuccessful Campaigns
If a campaign does not meet the Funding Goal by the deadline:
The campaign will be canceled
Contributors will be given the option to:
Give Forward their contribution and stream the film in their home
Receive a full refund
3. Tickets
3.1 Confirmation
Tickets are not confirmed unless and until the Funding Goal is met.
3.2 Transferability
Tickets are transferable but non-refundable, except as expressly stated in Section 9.
3.3 No-Shows
No refunds will be issued for failure to attend an event including but not limited to: personal scheduling conflicts, illness, unused tickets, etc.
4. Host Role and Responsibilities
The individual or organization launching a campaign is the “Host” and, upon successful funding, becomes the Licensee of the Film.
4.1 Host Responsibilities
The Host is solely responsible for:
Booking, securing, and managing the venue
Ensuring venue compliance with all applicable laws, regulations, safety requirements, and insurance obligations
Event staffing, guest management, and audience conduct
All event logistics, including seating, accessibility, and concessions (if any)
Promotion and communication with contributors and attendees
Compliance with all applicable federal, state, and local laws
4.2 Host Tickets
Upon successful funding, the Host will receive:
Six (6) complimentary tickets
One (1) Triumph of the Heart T-shirt
The Host is solely responsible for distributing or using these tickets.
4.3 Host as Primary Contact
The Host agrees to act as the primary point of contact for contributors and to provide accurate and timely event information.
Failure to meet Host obligations may result in delay or cancellation of the screening retreat without refund.
5. Screening License Grant (Permitted Use)
Upon successful funding, Licensor grants the Host a limited, non-exclusive, non-transferable, single-event public screening license to exhibit the Film:
For one (1) live, in-person screening
For an audience size consistent with the funded campaign
At the confirmed venue, date, and time associated with the campaign
No other use is permitted.
6. Restrictions on Use
The Film may not be:
Copied, recorded, duplicated, altered, or modified
Streamed, broadcast, rebroadcast, or transmitted digitally
Displayed online, on television, or on any public digital platform
Used for any purpose beyond the approved screening event
Unauthorized use constitutes a material breach of this Agreement and may result in legal action.
7. Technical and Event Requirements
The Host is solely responsible for ensuring all technical requirements are met, including:
A suitable venue with a functioning projection and sound system
A stable internet connection (Wi-Fi or ethernet)
A computer with HDMI output (screening links will not function on phones or tablets)
On-site technical support during the event
Advance testing of all equipment and the screening link
A unique digital screening link will be delivered two (2) days prior to the event.
Licensor does not provide live or on-site technical support.
8. Refunds, Cancellations, and Give Forward
8.1 Refund Eligibility
Refunds may be issued only in the following circumstances:
A campaign does not meet the Funding Goal
8.2 Host or Venue Cancellations
If a confirmed screening retreat is canceled due to Host action, venue issues, or Host non-compliance:
Licensor may, at its discretion, offer refunds, Give Forward options, or alternative arrangements
Licensor is not responsible for Host-caused cancellations
8.3 No Refunds
Refunds will not be issued for:
No-shows
Scheduling conflicts
User error
Force Majeure events (see Section 9)
9. Limitation of Liability & Force Majeure
Licensor acts solely as a facilitator and payment collection agent.
To the fullest extent permitted by law:
Licensor disclaims liability for direct, indirect, incidental, or consequential damages
Licensor is not responsible for venue closures, technical failures, event logistics, or Host performance
Licensor shall not be liable for delays or failures caused by events beyond reasonable control, including natural disasters, pandemics, government actions, labor disputes, power failures, or internet outages.
10. Indemnification
The Host agrees to defend, indemnify, and hold harmless Licensor, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
The Host’s screening retreat or event
Venue use or conditions
Personal injury, property damage, or losses occurring at the event
Failure to obtain required licenses, permits, or permissions
Breach of this Agreement
Any violation of law by the Host or event attendees
This indemnification obligation survives termination of this Agreement.
11. Intellectual Property
All rights, title, and interest in the Film and Platform materials remain with their respective rights holders. No rights are granted except as expressly stated in this Agreement.
12. Privacy
Licensor collects personal information from Users, including but not limited to names, email addresses, phone numbers, contribution details, and usage data, for the purpose of operating, facilitating, and improving the Platform and Community Screening Retreats.
By using the Platform, Users expressly acknowledge and agree that:
Contributor information will be shared with the Host of the screening retreat to which the User contributes.
The Host will receive full access to all contributor information, including names, email addresses, phone numbers, and ticket or contribution details.
Contributor information may be used by both the Licensor and the Host for:
Event coordination and communication
Ticket distribution and attendance management
Marketing, promotional, and informational communications, including future events, screenings, and related offerings
Licensor may also share User information with trusted third-party service providers that assist with payment processing, email delivery, analytics, marketing communications, and Platform operations.
Licensor does not sell User personal information. All personal data is used solely in connection with Platform operations, event facilitation, communications, and marketing activities related to Triumph of the Heart and affiliated offerings.
By participating in a campaign, Users consent to the collection, use, and sharing of their information as described in this Agreement, including receiving marketing communications. Users may opt out of marketing emails at any time by following the unsubscribe instructions included in such communications; however, transactional and event-related messages may still be sent.
13. Amendments
Licensor may modify these Terms at any time. Updates are effective upon posting. Continued use of the Platform constitutes acceptance.
14. Governing Law
This Agreement shall be governed by and construed under the laws of the State of Texas, without regard to conflict-of-law principles.
