Triumph of the Heart – Community Screening Terms and Conditions

This Community Screening Agreement (the “Agreement”) is a binding legal contract between Sherwood Fellows (“Licensor”) and the purchaser of a screening license (“Licensee”). By purchasing a screening license and hosting a screening event of Triumph of the Heart (the “Film”), the Licensee acknowledges that they have read, understood, and agreed to the following Terms and Conditions.

1. Grant of License

1.1 After purchasing a screening license, Licensor grants Licensee a limited, non-exclusive license to host one (1) in-person, private screening of the Film on the date and at the venue chosen by Licensee within the licensing period (October 4, 2025 – December 31, 2026).

1.2 Licensor will provide the following no later than one (1) day prior to the scheduled screening:

  • A high-quality screening link to the Film.

  • A media kit and promotional materials.

  • A Screening Resource Guide with planning and discussion recommendations.

2. Permitted Use

2.1 Licensee may host one (1) screening of the Film for a live, in-person audience. The size of that audience is specified by the tier of license purchased by the Licensee.

2.2 Licensee may charge admission and retain profits from the event but assumes full responsibility for all related ticketing, RSVPs, refunds, or complaints. The Licensor is not responsible for ticketing, concession sales, venue costs, or associated event expenses.

2.3 The license fee tier structure is as follows:

Anticipated Maximum People and License Fee:

Up to 50 Viewers - $600

Up to 100 Viewers - $1,000

Up to 200 Viewers - $1,800

Up to 400 Viewers - $2,500

Up to 1000 Viewers - $5,000

2.4 The license fee must be paid in advance and is fully refundable up to 4 days before the event or up to 30 days after purchase. If actual attendance exceeds the license tier originally purchased, Licensee must notify Licensor and pay for an upgraded license within 10 business days. Licensor may audit attendance records upon reasonable notice. Refunds will not be given in cases of actual audience attendance being less than expected or less than the viewer license amount.

3. Restrictions

3.1 The Film may not be duplicated, copied, modified, reproduced, rebroadcast, streamed, displayed, or distributed online, on television, or on any public digital platform in whole or in part in any manner.

3.2 Any unauthorized use of the Film constitutes a breach of this Agreement and may result in legal action.

4. Event Responsibilities of the Licensee

4.1 Licensee warrants that:

  • They have permission from the Organization, Host, and/or Venue to plan and execute the event.

  • They are solely responsible for the entirety of the event, including securing and managing the venue, audience, ticketing (if applicable), and A/V equipment.

  • They will not advertise that the screening is hosted by another group or organization without permission from that group or organization.

  • They will obtain and comply with all necessary public performance licenses for the music in the Film from relevant performing rights organizations, as detailed in Section 4.2, ensuring full responsibility for any associated royalties, fees, or compliance with composers' and publishers' rights.

Licensee must ensure the following event logistics are in place:

  • A venue with a reliable Wi-Fi or ethernet connection.

  • A large screen or a projector and projector screen and a functioning sound system appropriate for the audience size.

  • A dedicated A/V person or tech support on-site during the event.

  • The proper technical connection setup (e.g. a computer with HDMI cable, screening link will not work on cell phones, etc).

  • Advanced testing of the screening link and all technical equipment to be used for the screening (the screening link will be emailed one (1) day prior to the event).

Tip: Licensees are encouraged to partner with local groups, churches, and organizations in advance in order to reach larger audiences. Licensees are also encouraged to consider sponsorships, ticket sales, or concessions to offset costs or to raise funds for the host group, church, or organization.

4.2 Music Performance Rights. Please note that the Film includes musical compositions and sound recordings that are subject to public performance rights managed by performing rights organizations (such as ASCAP, BMI, or their international equivalents). As the host of the screening event, the Licensee is responsible for obtaining any required licenses or permissions from these organizations for the public performance of the music in the Film, including paying any applicable royalties or fees. This is solely the Licensee’s responsibility as the event host to ensure compliance with the rights of the Film's music composers and publishers. To assist the Licensee, the Licensor will provide cue sheet information upon request for reporting purposes. However, the Licensor does not supply these licenses and makes no representations or warranties about music performance rights, nor assumes any liability for claims, fees, or penalties related to the Licensee’s event.

Tip: Many venues, churches, and organizations already hold blanket licenses with these PROs that may cover community screenings— we recommend the Licensee check with their venue manager, event coordinator, or legal advisor to confirm if their setup is already compliant. If the Licensee needs to obtain a license, they can visit the PRO websites to apply for event-specific coverage: ASCAP (www.ascap.com/licensing) and BMI (www.bmi.com/licensing). For screenings outside the US, they can check local equivalents such as SOCAN (Canada) or PRS (UK).

5. Responsibilities of the Licensor

Licensor warrants that:

  • They will provide the screening license for the purchased audience size.

  • They will deliver a unique digital screening link to Licensee one (1) day before the scheduled event.

  • They will providing a Screening Resource Guide, media kit, and discussion materials.

  • They will provide cue sheet information upon request to assist with reporting music performance rights, as outlined in Section 4.2.

Note: Licensor does not provide live or virtual tech support before or on the day of the event.

6. Term of License

This Agreement is valid solely for one (1) community screening event between October 4, 2025 and December 31, 2026. The license automatically terminates upon completion of the screening.

7. Intellectual Property

The Film and all related materials are the exclusive property of Licensor. This Agreement grants no ownership rights; this Agreement only grants a limited-use screening license.

8. Liability and Indemnification

8.1 Licensee is fully responsible for the safety and conduct of all attendees at the screening. Licensor is not liable for injury, loss, damages, or expenses related to the event.

8.2 Licensee agrees to indemnify and hold harmless Licensor, its officers, employees, and affiliates from any claims, damages, or costs arising from Licensee’s event or use of the Film.

9. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Texas, without regard to conflict of law principles.

Acknowledgment

By completing the purchase of a screening license, the Licensee confirms that they have read, understood, and agreed to these Terms and Conditions.
